By using the ExtraShift platform ("Platform") provided by ExtraShift Technologies ("ExtraShift," "we," "us," or "our"), both healthcare professionals and healthcare facilities agree to abide by the following terms and conditions ("Terms and Conditions"). These Terms and Conditions govern the use of the Platform and the services provided therein. By accessing or using the Platform, users acknowledge that they have read, understood, and agree to be bound by these Terms and Conditions.
Platform: Refers to the ExtraShift mobile application ("App"), website, and any other services provided by ExtraShift.
Healthcare Professional: Refers to any licensed healthcare practitioner, including but not limited to pharmacists, nurses, technicians, assistants, and interns/students, who is registered and using the Platform.
Facility: Refers to healthcare facilities such as pharmacies, hospitals, long-term care homes, clinics, and other medical institutions registered and using the Platform.
Owner: Refers to the owner or manager of a Facility who is accessing the Platform.
Other Users: Includes all Owners and Healthcare Professionals using the Platform.
Healthcare Professional: By using the Platform, users represent and warrant that they are registered healthcare professionals and satisfy all legal and regulatory requirements to practice.
Facility Owner/Manager: By using the Platform, the Owner/Manager represents and warrants that they have the authority to act on behalf of the Facility and that they satisfy all legal and regulatory requirements.
Account: User accounts are for personal use only, and users may not authorize others to use their accounts.
Information Submitted: Users are solely responsible for the accuracy and completeness of the information contributed to the Platform, including profile information.
No Illegal Activity: Users agree to use the Platform in compliance with all applicable laws and regulations.
Posting and Communication: Users agree not to engage in any activity on the Platform that violates applicable laws, promotes illegal activities, harasses others, or contains harmful content.
Unique and Bona Fide Profile: Users agree to create only one unique profile and to use the Platform for bona fide purposes.
Connection: ExtraShift provides a platform to connect Facilities with Healthcare Professionals to fill work shifts. ExtraShift is not responsible for the conduct of either the Facility or the Healthcare Professional and disclaims all liability in this regard.
Accuracy of Information: ExtraShift makes reasonable efforts to keep its data accurate but cannot guarantee the accuracy of all information on the Platform.
Fees: Facilities agree to pay fees for services provided by Healthcare Professionals through the Platform, including administrative fees and applicable taxes.
Payment Processing: Payment information provided to ExtraShift must be accurate. ExtraShift uses third-party payment processors for payment processing.
No Refunds: Once a shift is completed, there will be no refund to the Facility, even in case of poor service quality.
Professional Conduct: Healthcare Professionals agree to act professionally, ethically, and competently at all times.
Compliance: Healthcare Professionals agree to comply with all applicable laws, regulations, and licensing requirements.
Scope of Practice: Healthcare Professionals agree to practice within their authorized scope of practice and competency.
Liability: Healthcare Professionals are solely responsible for any liability arising from their provision of services.
Taxes: Healthcare Professionals agree to pay all applicable taxes on their earnings.
Licensure: Facilities must possess all valid licenses and approvals to operate and provide services.
Insurance: Facilities must have liability insurance coverage as required by law.
Shift Information: Facilities are required to provide accurate information regarding each shift posted on the Platform.
Cancellation Fee: Facilities agree to pay a $25 cancellation fee for any shifts canceled by the Facility.

Users are prohibited from circumventing the Platform's administrative fees by contracting outside the Platform.
Facilities may NOT permanently employ Healthcare Professionals from the Platform.
Facilities are subject to late payment penalties for overdue payments.
ExtraShift may terminate or suspend access to the Platform for violation of these Terms.
Users consent to the collection and use of personal information by ExtraShift.
Users are responsible for maintaining the confidentiality of their accounts and passwords.
ExtraShift is not responsible for interruptions or suspensions of the Platform.
Users agree not to transmit unlawful, harmful, or inappropriate content through the Platform.
ExtraShift respects intellectual property rights and may terminate users' access for infringement.
ExtraShift provides the Platform "as is" and disclaims all warranties.
ExtraShift's liability is limited to the extent permitted by law.
Users agree to indemnify and hold ExtraShift harmless from any claims arising from their use of the Platform.
ExtraShift may amend these Terms at any time, and continued use of the Platform constitutes acceptance of the changes.
Users consent to receive communications from ExtraShift via email and SMS.
These Terms are governed by the laws of Canada.
If any provision of these Terms is deemed invalid, the remaining provisions shall remain in effect.
Users may not assign their rights and obligations under these Terms without ExtraShift's consent.
Headings and summaries are for convenience only and do not define or describe the scope of provisions.
These Terms constitute the entire agreement between users and ExtraShift regarding the Platform.
By using the ExtraShift platform, users agree to abide by these Terms. If users do not agree to these Terms, please do not use the Platform.

This Privacy Policy ("Policy") outlines how FlexShift Inc. ("Extrashift", "we", "us", or "our") collects, uses, discloses, and protects the personal information of users of the Extrashift platform ("Platform"). By accessing or using the Platform, users acknowledge that they have read, understood, and agree to be bound by this Policy.
Personal Information: We collect personal information from users, including but not limited to names, contact information, professional credentials, and payment details.
Usage Data: We automatically collect information about how users interact with the Platform, such as IP addresses, device information, and browsing activity.
Location Data: With user consent, we may collect location data to provide location-based services.
Service Provision: We use personal information to provide and maintain the Platform, including facilitating connections between healthcare professionals and facilities.
Communication: We may use contact information to communicate with users about their accounts, transactions, and updates to the Platform.
Improvement: We use usage data to analyze and improve the Platform, including enhancing user experience and developing new features.
Marketing: With user consent, we may use personal information to send promotional communications about our services or third-party offers.
Third Parties: We may share personal information with third-party service providers to facilitate Platform operations, such as payment processors and cloud storage providers.
Legal Compliance: We may disclose personal information to comply with legal obligations, enforce our policies, or protect our rights or the rights of others.
Business Transfers: In the event of a merger, acquisition, or sale of assets, personal information may be transferred as part of the transaction.
We retain personal information for as long as necessary to fulfill the purposes outlined in this Policy or as required by law.

Despite our efforts, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

The Platform is not intended for children under the age of 13, and we do not knowingly collect personal information from children.

THIS GENERAL SERVICE AGREEMENT (the "Agreement") dated this [Date] of [Month], [Year] BETWEEN:

(the "Professional")
The Client requires temporary staffing services for healthcare, construction, or retail purposes and believes the Professional has the necessary skills and qualifications. The Professional agrees to provide these services under the terms and conditions outlined in this Agreement.
IN CONSIDERATION OF the mutual benefits set forth in this Agreement, the receipt and sufficiency are hereby acknowledged, the Client and the Professional (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:
1.1 The Professional agrees to provide temporary staffing services as described on the ExtraShift platform.
1.2 The Professional confirms they have the necessary qualifications, experience, and legal right to perform these services.
1.3 The Professional is allowed to engage in other employment as long as it does not interfere with their obligations under this Agreement.
2.1 This Agreement begins on the [Date] of [Month], [Year] (the "Start Date") and continues until the completion of the specified services, unless terminated earlier as provided in this Agreement.
2.2 Either Party can terminate this Agreement with [14] days' notice through the ExtraShift platform or pay the applicable cancellation fees.
2.3 Facility shift cancellation fee is $25. Subscription cancellation fee is the remainder of the months left in the subscription period.
3.1 Clients must preload funds into their account before posting shifts. Payment for posted shifts is deducted immediately from these funds.
3.2 Compensation for services rendered will be based on the agreed rates specified on the ExtraShift platform.
4.1 Both Parties agree to fulfill their responsibilities to ensure the successful execution of this Agreement.
5.1 The Parties agree not to conduct any business or communicate outside the ExtraShift platform for six (6) months following their last engagement.
6.1 All financial transactions under this Agreement are in Canadian Dollars (CAD).
7.1 The Professional will not be reimbursed for any expenses unless explicitly agreed upon by both Parties.
8.1 "Confidential Information" includes any private, business, or customer data disclosed during the term of this Agreement.
8.2 The Professional agrees not to disclose any Confidential Information without the Client's permission, unless required by law. This obligation remains in effect indefinitely after the termination of this Agreement.
9.1 The Professional is an independent contractor and not an employee. This Agreement does not create a partnership or joint venture.
10.1 This Agreement does not transfer any ownership of intellectual property between the Parties.
11.1 Each Party agrees to indemnify and hold the other Party harmless from any claims or damages arising from their actions under this Agreement.
11.2 This indemnification includes legal fees and will survive the termination of this Agreement.
11.3 Each Party acknowledges that ExtraShift Inc. is not liable for any disputes arising from this Agreement.
12.1 The Professional cannot assign or transfer their obligations under this Agreement without the Client's written consent.
13.1 This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings.
14.1 This Agreement is governed by the laws of the Province of Ontario, Canada.
15.1 If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
16.1 The failure of either Party to enforce any provision of this Agreement will not be construed as a waiver of that provision or any other provision.
17.1 AI Services: ExtraShift utilizes Artificial Intelligence (AI) and Machine Learning (ML) technologies to enhance the quality and efficiency of the services provided on its platform. These services include, but are not limited to, automated matching of Professionals with shifts, providing personalized job recommendations, and analyzing user preferences to continuously improve the platform experience.
17.2 Data Collection and Usage: The ExtraShift platform incorporates a Large Language Model (LLM) and other AI technologies which may collect user data, including user interactions, preferences, uploaded documents, and submitted content. This data is used to train and improve AI algorithms, optimize shift matching, and enhance the overall quality of services provided by ExtraShift. All data collection is conducted in compliance with applicable privacy laws and regulations, and no data is shared with unauthorized third parties.
17.3 Privacy and Consent: By using the ExtraShift platform, the Parties agree and consent to the collection and usage of their data as described in Section 17.2. ExtraShift ensures that user data is anonymized where possible and that all data is handled in accordance with ExtraShift's Privacy Policy. Users can review the Privacy Policy for detailed information on how data is collected, stored, and used.
17.4 Limitations and Liability for AI Usage: The Parties acknowledge that the AI and ML technologies used by ExtraShift are intended to assist in decision-making but are not infallible. Recommendations provided by the AI are for guidance only, and users should exercise independent judgment. ExtraShift Inc. is not liable for any decisions made based on AI-generated recommendations, nor for any direct or indirect consequences arising from the use of such technologies.
17.5 Data Security: ExtraShift employs industry-standard measures to protect the integrity and confidentiality of all collected data, including encryption, secure storage, and regular security audits. Despite these precautions, the Parties acknowledge that no system is completely secure, and ExtraShift Inc. cannot guarantee absolute protection against unauthorized access or data breaches.
17.6 User Rights: Users have the right to request access to, correction of, or deletion of their personal data collected by ExtraShift. Requests must be submitted in writing to ExtraShift's Data Protection Officer. ExtraShift will comply with such requests in accordance with applicable laws.
17.7 Sector-Specific Considerations: ExtraShift provides staffing solutions across healthcare, construction, and retail sectors. The use of AI is tailored to meet the specific requirements of each sector to optimize the quality of matches. By utilizing ExtraShift, Professionals and Clients acknowledge and consent to sector-specific data analysis and AI-driven decision-making designed to provide the best possible outcomes for shift fulfillment and team dynamics.
